You have reached this Terms of Use Agreement ("Agreement") from any websites, applications, or platforms operated by CSSI ("we," "us," "our"). This Agreement governs your use of our sites and services.

PLEASE READ THIS AGREEMENT CAREFULLY. By accessing or using our sites or services, you agree to be bound by THIS AGREEMENT and recognize that you may be waiving certain rights.

THIS AGREEMENT contains an arbitration AGREEMENT THAT limits your rights to bring an action in court and have disputes decided by a judge or jury, as well as provisions that limit our liability to you.

1. Modification of Terms

CSSI reserves the right to change, modify, add, or remove portions of these Terms of Use at any time. Please check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes.

2. Privacy Policy

Your use of the Site is also subject to our Privacy Policy. Please review our Privacy Policy, which describes how we collect, use, and share your information.

3. Use of the Site

The Site is intended for your personal, noncommercial use. You may not use the Site to engage in any unlawful activity or to infringe the rights of CSSI, its affiliates, or others. You agree to use the Site in compliance with all applicable local, state, national, and international laws and regulations.

4. Intellectual Property Rights

All content on the Site, including text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, is the property of CSSI or its content suppliers and is protected by United States and international copyright laws. The compilation of all content on this Site is the exclusive property of CSSI and is protected by U.S. and international copyright laws. You may not reproduce, distribute, modify, display, perform, publish, license, create derivative works from, transfer, or sell any content, information, software, products, or services obtained from the Site without the prior written consent of CSSI.

5. Trademarks

CSSI, the CSSI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CSSI or its affiliates or licensors. You must not use such marks without the prior written permission of CSSI. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

6. Prohibited Uses

You may use the Site only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Site:

  • • In any way that violates any applicable federal, state, local, or international law or regulation.
  • • To exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • • To send, knowingly receive, upload, download, use, or re-use any material which does not comply with these Terms of Use.
  • • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
  • • To impersonate or attempt to impersonate CSSI, a CSSI employee, another user, or any other person or entity.
  • • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm CSSI or users of the Site, or expose them to liability.

7. User Contributions

The Site may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Site.

All User Contributions must comply with the Content Standards set out in these Terms of Use. Any User Contribution you post to the Site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Site, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

8. Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

  • • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
  • • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
  • • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
  • • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
  • • Be likely to deceive any person.
  • • Promote any illegal activity, or advocate, promote, or assist any unlawful act.
  • • Cause annoyance, inconvenience, or needless anxiety, or be likely to upset, embarrass, alarm, or annoy any other person.
  • • Impersonate any person or misrepresent your identity or affiliation with any person or organization.
  • • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
  • • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

9. Monitoring and Enforcement; Termination

We have the right to:

  • • Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
  • • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Site or the public, or could create liability for CSSI.
  • • Disclose your identity or other information to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
  • • Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Site.
  • • Terminate or suspend your access to all or part of the Site for any or no reason, including without limitation, any violation of these Terms of Use.

10. Limitation of Liability

CSSI AND OUR AFFILIATES, SUBSIDIARIES, DIVISIONS AND RELATED COMPANIES AS WELL AS OUR AGENTS, SUPPLIERS AND SERVICE PROVIDERS (COLLECTIVELY, THE "RELEASEES") WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO THE USE OR THE INABILITY TO USE OUR SITES, CONTENT OR EXTERNAL LINKS. RELEASEES WILL ALSO NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR ANY LOSS OF DATA OR PROFITS. IF WE ARE FOUND TO BE LIABLE, OUR LIABILITY TO YOU OR TO ANY THIRD PARTY IS LIMITED TO $100.

11. Indemnity

You agree to indemnify, defend, and hold harmless CSSI and the Releasees from and against any claims, damages, suits, actions, liabilities, judgments, losses, costs or other expenses that arise directly or indirectly out of or from (i) your breach of any provision of this Agreement; (ii) your activities in connection with our sites; or (iii) the content or information you provide to us through our sites.

12. Disputes, Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation or validity thereof, shall be determined by arbitration.

Confidentiality: The parties shall maintain the confidential nature of the arbitration proceeding and the award, including the hearing, except as may be necessary to prepare for or conduct the arbitration hearing on the merits, or as may be necessary in connection with a court application for a preliminary remedy, a judicial challenge to an award or its enforcement, or unless otherwise required by law or judicial decision.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, exclusive of conflict or choice of law rules.

Class Action Waiver: YOU AND CSSI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and CSSI agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims and may not otherwise preside over any form of a representative or class proceeding.

By using our sites and services, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
